Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, datasets, dashboards, APIs, downloads, reports, subscriptions, and related services provided by My Waypoint Technologies Inc. ("My Waypoint," "we," "us," or "our").

By accessing or using our services, you agree to these Terms. If you do not agree, do not use our services.

Product-specific terms are set out in the product addenda available at mytrustcentre.ca/products/. Where a product addendum conflicts with these Terms, the addendum controls for that product.

You must be at least the age of majority in your jurisdiction and have authority to enter into this agreement. If you use the services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

My Waypoint Technologies Inc. provides access to data products, datasets, tools, dashboards, reports, downloads, APIs, subscription services, professional services, and related services through the MyWaypoint family of products.

Specific features, datasets, update frequency, access rights, and usage limits may depend on your subscription plan, product, or written agreement. See the applicable product addendum for product-specific service descriptions.

You may use our services for lawful purposes in accordance with these Terms, our Acceptable Use Policy, and applicable law.

You may not:

• Use the services for illegal, harmful, fraudulent, deceptive, or abusive purposes
• Attempt unauthorized access to systems, accounts, or data
• Circumvent access controls or usage limits
• Share login credentials or API keys
• Resell, redistribute, or sublicense datasets except as permitted
• Scrape, harvest, or excessively download data
• Reverse engineer or interfere with the platform
• Use data in a way that violates applicable law

All rights, title, and interest in the platform, websites, software, datasets, databases, documentation, branding, reports, and related materials are owned by My Waypoint Technologies Inc. or its licensors. Except for the limited rights granted under your subscription or written agreement, no rights are transferred to you.

The MyWaypoint name, logo, and product names are trademarks of My Waypoint Technologies Inc. See our Copyright and Trademark Notice for details.

Our services and datasets are provided on an "as is" and "as available" basis. We do not guarantee that:

• Data will be complete, current, accurate, or error-free
• Services will be uninterrupted or available at all times
• Outputs will be suitable for your specific purpose
• Data will satisfy regulatory, legal, financial, accounting, or compliance requirements

Our services provide information and business intelligence only. They do not constitute legal, regulatory, financial, investment, medical, accounting, compliance, or professional advice. You are responsible for independent verification and professional advice where appropriate.

To the maximum extent permitted by applicable law, My Waypoint Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with these Terms or your use of the services, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of My Waypoint Technologies Inc. for all claims arising out of or relating to these Terms or the services, whether in contract, tort, statute, or otherwise, shall not exceed the total fees paid by you to My Waypoint Technologies Inc. in the twelve (12) months immediately preceding the event giving rise to the claim. Where no fees have been paid, our total liability shall not exceed one hundred Canadian dollars (CAD $100.00).

You agree to defend, indemnify, and hold harmless My Waypoint Technologies Inc. and its directors, officers, employees, contractors, and permitted assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you submit, upload, or transmit through the services. My Waypoint Technologies Inc. reserves the right to assume exclusive control of the defence of any matter subject to indemnification, at your expense, and you agree to cooperate with our defence of such claims.

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties attorn to the exclusive jurisdiction of the courts of the Province of British Columbia for the resolution of any dispute arising out of or in connection with these Terms or the services, except where applicable law requires otherwise.

We may update these Terms from time to time. Material changes will be announced on the Trust Centre homepage. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
